2. Services
We provide bespoke, creative writing services based on information supplied by the client. These may include, but are not limited to:
- Memoir and life-story writing
- Editing and proofreading
- Interviewing and transcription services
- Research assistance
- Structuring and organising life narratives
- Production of a completed manuscript or related written work
All services are provided on a personalised, project-by-project basis.
3. Client Responsibilities
You agree that:
- All information, materials, documents, recordings, images, and content you provide are supplied lawfully;
- You have the legal right to share any materials you submit to us;
- You have obtained all necessary permissions, consents, and rights from any individuals mentioned, depicted, or referenced in your materials;
- You will not provide any material that infringes copyright, intellectual property rights, privacy rights, or confidentiality obligations of any third party.
You are solely responsible for the accuracy, legality, and appropriateness of all materials and information you provide.
4. Indemnity (Legal Responsibility for Client Content)
You agree to fully indemnify and hold harmless MemoryScribe, its owner, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:
- Any allegation that materials you provide infringe copyright or intellectual property rights;
- Any claim of defamation, libel, or slander arising from content you supply;
- Any breach of privacy, data protection rights, or confidentiality relating to individuals mentioned in your materials;
- Any claim arising from your failure to obtain appropriate consent from individuals featured or referenced in your materials.
We do not accept responsibility for any legal issues arising from client-supplied content.
5. Intellectual Property
Upon full payment:
- The final agreed manuscript produced for you becomes your property unless otherwise agreed in writing.
- We retain the right to use non-confidential excerpts of work for portfolio, promotional, or marketing purposes only with your explicit permission.
All working drafts, notes, and internal materials remain the property of MemoryScribe unless otherwise agreed.
6. Payments
- A deposit may be required before work begins.
- Payment terms for each project will be agreed in writing before work commences.
- We reserve the right to pause or terminate work if invoices are not paid on time.
All fees are non-refundable unless otherwise agreed in writing.
7. Cancellations and Termination
Either party may terminate a project by providing written notice.
If a project is cancelled:
- The client is responsible for payment for all work completed up to the cancellation date;
- Deposits are non-refundable unless otherwise agreed in writing;
- Any completed work delivered up to the termination point remains payable.
We reserve the right to terminate services immediately if there is abusive conduct, non-payment, or breach of these Terms.
8. Timelines
Project timelines provided are estimates only. Delivery times may vary depending on:
- Client responsiveness
- Scope changes
- Complexity of materials provided
- Availability of required information
We are not liable for delays caused by incomplete or delayed client input.
9. Artificial Intelligence Use
We may use artificial intelligence (AI) tools to support administrative and preparatory tasks only, including:
- Organising notes and transcripts
- Creating timelines and chronologies
- Assisting with spelling, grammar, and proofreading checks
- Supporting research organisation
AI tools are not used to write or ghostwrite client memoirs. All final written content is written, edited, and reviewed by a human writer.
10. Confidentiality
We treat all client materials as strictly confidential and will not disclose them to third parties except where:
- Required to deliver services (e.g., trusted contractors bound by confidentiality agreements);
- Required by law or legal process;
- Explicitly authorised by the client in writing.
11. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, or consequential losses arising from the use of our services;
- Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question;
- Nothing in these Terms excludes liability for fraud or any liability which cannot be excluded under UK law.
12. No Legal or Publishing Guarantee
We do not provide legal advice, publishing guarantees, or assurances of commercial success. Any publishing decisions, opportunities, or outcomes remain outside our control.
13. Governing Law
These Terms & Conditions are governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
